Our multi-faceted practice serves dozens of alarm industry clients, counseling alarm companies and other clients in acquisitions, dispositions, financings, joint ventures, tax planning, state and local licensing, litigation, employment law, non-compete enforcement, customer contracts and other matters. In the past few years, our lawyers have been involved in a multitude of industry transactions with an aggregate value in the billions, including:

  • Representing alarm companies in both asset and stock purchase and sale transactions.
  • Representing banks and other finance companies in various transactions, including syndicated loans.
  • Representing borrowers in obtaining secured and other types of debt financing from alarm industry lenders.

In addition to transaction-related work, we also advise security alarm clients on a variety of operational matters, including customer contracts, employment agreements, state and local licensing, personnel policies, insurance and liability claims, data security, FTC and state advertising requirements, and consumer protection laws.

We Know This Industry

We are honored to serve as counsel to the Electronic Security Association, the industry's largest trade association, and have represented other alarm associations. As a result, we are familiar with many issues that confront the industry and work with our clients to address them head-on. For example, when Pennsylvania adopted a law requiring that all consumer contracts be written in plain language, we drafted the first “plain language” contract approved by the Attorney General's office. 

Sharing What We Know. Members of our group have written numerous articles for industry publications, as well as participated in industry seminars on a variety of topics, including the buying and selling of alarm companies, debt and equity financings, customer contracts, electronic contracting, data security, employment, estate planning, tax and related matters. As a result of our industry involvement, we have an extensive network of contacts and regularly introduce those new to the industry to established operators, lenders, investors, consultants, investment bankers and brokers.

The Barnes Buchanan Conference. We have hosted the Barnes Buchanan Conference for more than 20 years with our co-host, Barnes Associates. The conference is the premier financing and acquisition conference for the alarm monitoring industry, which is held each February at the Breakers in Palm Beach, Fla. Recognizing the real need within the industry for more financing options, our lawyers worked to create this unique conference, which combines extensive networking opportunities with up-to-date analysis and opinions from senior alarm executives, lenders, equity sponsors and advisors.
