How Stan Helps Clients

As an associate in the firm’s Corporate Finance and Technology group, Stan’s practice focuses upon a variety of corporate matters across several industries. Prior to joining Buchanan, Stan worked at a local financial services corporation where he engaged with the entity’s commercial real estate portfolio, drafting documents to facilitate the acquisition, disposal, and continuing operation of bank properties. Furthermore, Stan drafted the entity’s first formal policies and procedures for real estate transactions.

While earning his J.D. at Duquesne University School of Law, Stan interned for the Honorable Judge Robert J. Colville, served as a research assistant to Professor Steven Baicker-McKee, and was actively involved as a member of the law school’s Appellate Moot Court Board and Law Review. Stan’s Appellate Moot Court Board teams won “Best Brief” awards at back-to-back competitions.

At Duquesne, Stan exhibited academic excellence, graduating #1 in his class. Stan is a recipient of 12 CALI Excellence for the Future Awards, given to the student with the top grade in a particular law school class, earning them in subjects such as Legal Research & Writing; Corporate Governance, Compliance & Risk Management; Federal Income Taxation; Civil Procedure; Criminal Law; Property; Torts; and Advanced Constitutional Law. In May of 2021, Stan was awarded the John & Liz Murray Award for Excellence in Student Scholarship, presented to a graduating student whose published Duquesne Law Review article is deemed by faculty advisors to be the most outstanding work of scholarship published in the past year.

In addition to a tireless blue-collar work ethic learned from sweeping the floors of his father’s plumbing shop as a teenager, Stan’s active listening to client concerns, enthusiasm, and intellectual curiosity are hallmarks of his representation.

Outside of the Office

As a lifelong native of Pittsburgh, Stan is a die-hard fan of the Steelers, Penguins, and Pirates. He enjoys attending games at Acrisure Stadium, PPG Paints Arena, or PNC Park whenever possible. His passions include cooking, movies, history, traveling,  pickup sports, and discovering any new experience the Steel City has to offer. Stan also enjoys spending quality time with his  family,  friends, and girlfriend Jamie.

  • Assisted in the representation of a long-standing Pittsburgh-based investment advisor and broker-dealer with over $18 billion under management in its acquisition via reverse-triangular merger.
  • Assisted with due diligence in a $40M private equity rollover investment transaction involving the transition of three subsidiaries (including an international subsidiary) to a single holding company.
  • Assisted with the $7.2 million acquisition of a Texas-based energy company;
  • Assisted in completing a $3 million equity redemption transaction for an automation innovation solutions provider;
  • Prepared federal securities filings in connection with a $2 million real estate opportunity zone private placement offering;
  • Assisted with drafting a $1.95 million assignment of oil and gas leases in the Bakken Formation;
  • Assisted in the representation of a blockchain technology startup in connection with a $1 million venture capital seed financing offering;
  • Represented a nonprofit generic drug company in a $1.2 million asset acquisition of an abbreviated new drug application from a Canadian corporation; and
  • Assisted a first-in-class pharmaceutical industry consortium in the adoption of its initial corporate governance framework and the receipt of tax exemption and foreign qualification status in multiple jurisdictions.
  • Provided an overview of the common legal issues encountered when starting a business via a presentation to the Robert Morris University Rockwell Fellows. The Rockwell Fellowship in Entrepreneurship and Innovation is an elite 2-year scholarly commitment for select RMU business students who are building entrepreneurial ventures and initiatives either prior to or after graduation.”
