Intellectual Property and Dissolving Companies

Susan Hartman, Glenn Murphy, Kelly Neal and Duane Stewart will be leading a firm-wide CLE presentation entitled, "Intellectual Property and Dissolving Companies." The group will explore:
- Common scenarios that may arise when an entity that owns IP dissolves, either voluntarily or involuntarily.
- Discussion of involuntary dissolution will include the effect of bankruptcy on intellectual property licenses and maintenance, along with contractual provisions to protect a solvent licensor or licensee.
- Discussion of voluntary dissolution will include consideration of orderly disposition of assets, purchase of IP from dissolving companies, and who may take action for a dissolved entity if that is required.
