Understanding the allocation of risk between parties is at the center of negotiating complex commercial contracts for goods and services. These issues are present in contracts ranging from software licenses and technical services agreements, to long term raw material supply agreements and manufacturing agreements. This program will focus on what in-house counsel need to know in connection with negotiating key provisions such as exclusivity, volume commitments, limitations of liability, indemnification and warranties.
