How Sam Helps Clients
Sam Baycer represents banks, public companies, and private businesses in the Firm’s Financial Institutions, Bankruptcy & Real Estate Section. Clients of the financial services industry and borrowers that are faced with protecting their interest in complex lending transactions, reach out to the Buchanan Financial Services team and Sam for their work in negotiating, structuring, and documenting transactions in ways that provide safety to them as a lender or as a borrower.
While in law school, Sam served as a research assistant for Professor Richard Gaffney, where he helped develop and implement changes to Duquesne’s Financial Toolkit for Lawyers course. Additionally, Sam was part of the inaugural class of the Kline Center Fellows at the Thomas R. Kline Center for Judicial Education. He was also a member of the Duquesne Law Review as a junior staff member, article contributor, and executive board member.
What Clients Can Expect
Sam is an intuitive and dedicated advocate who will work hard to provide practical solutions to complex problems. He is methodical, attentive, and communicative with his clients. As such, clients can expect frequent communication that moves the needle forward in solving business and legal issues.
Sam’s previous experience working at a Pittsburgh based bank has helped him understand both the legal and financial implications of business challenges, including how lenders approach potential transactions, risk factors, and compliance considerations. He strives to take a holistic view of issues and offer guidance that is practical and reflects client priorities.
Outside the Office
Outside the office, Sam spends much of his time at his fiancée’s farm, where he helps care for horses, goats, pigs, and other animals. He is also a member of the Sewickley Hunt, a fox hunting club in Bell Acres founded in 1922 (which no longer hunts live foxes). There, he attends social events and assists with walking the foxhounds. Sam is also an avid reader, golfer, and enjoys trying different restaurants in Pittsburgh.

- Assisted in resolving a dispute between a bank and financial company regarding control of a securities account, including providing interpretations of FINRA arbitration decisions, applicable state law, and U.C.C. Article 8.
- Helped serve as counsel to lender in connection with $31 million term and revolving credit facilities to finance working capital needs.
- Researched and analyzed the application of Texas and Delaware fraudulent conveyance law to assist a large Pittsburgh-based bank.
- Assisted in providing guidance to a Pittsburgh-based biotech company seeking to domesticate its incorporation from Delaware to Nevada for tax planning purposes.
