How Andrew Helps Clients

Andrew focuses his practice on healthcare transactional matters and regulatory compliance.

Andrew’s transactional practice includes buy- and sell-side representation with respect to healthcare transactions, private equity transactions, and day-to-day corporate matters, including advising directors, officers and executives, and drafting, reviewing, and negotiating documents with respect to equity transactions, employment agreements, organizational documents and service agreements.

On the regulatory side, Andrew counsels clients across the country with respect to health care fraud and abuse issues related to the Federal Anti-Kickback Statute (AKS) and state law counterparts, physician self-referral laws, Eliminating Kickbacks in Recovery Act (EKRA), physician entity structuring, licensure matters and corporate practice of medicine (CPOM) prohibitions. He has significant experience with respect to representation of healthcare providers and physician practices in connection to complaints, audits, and investigations by state and federal regulatory authorities.

Andrew represents a variety of clients, including group medical practices, behavioral health providers, clinical laboratories, cannabis companies, private equity funds, telehealth companies, and management companies.

Andrew works with clients to provide creative, efficient strategies that close deals. With his grounded and clear explanations of legal concepts, he helps companies navigate different phases from formation to full operations and the regulatory landscape at each stage.

Outside the Office 

Outside of the office, Andrew enjoys playing men’s league baseball, golfing, and spending time with his wife and cats. Andrew loves to travel and has recently traveled to Panama, Sweden, France, Greece, Denmark, Japan, and Hawaii.

Healthcare is an exciting area of the law because it is rapidly changing depending on a variety of different market or societal factors. My favorite part of my practice is successfully guiding my clients through complicated transactions to enable them to meet their strategic goals.

  • Regularly acts as lead counsel for platform and add-on transactions, representing private equity funds, family offices, management companies, and healthcare providers.
  • Represented an executive team with respect to their rollover equity in connection to the sale of their company for approximately $1 billion.
  • Restructured entities for regulatory and tax purposes in preparation for sale and other strategic ventures.
  • Secured a Determination of Need on behalf of an ophthalmology practice to enable it to operate an ambulatory surgery center.
