David focuses his practice on mergers & acquisitions in a variety of industries, including energy, security alarm, technology, among others. He has helped to negotiate and consummate acquisitions and dispositions of diverse businesses, ranging in value from $10 million to more than $250 million.

In addition to his M&A practice, David also helps companies prepare for and respond to cybersecurity incidents. David guides organizations through every stage of the incident response process. This involves assessing the incident's nature and extent, overseeing forensic investigations, addressing inquiries from law enforcement or regulatory bodies, and identifying legal responsibilities under state, federal, or international laws, as well as contractual obligations with third parties. David also assists clients in proactively preparing for data security and privacy incidents by developing incident response plans. Additionally, he offers advice on enhancing organizations' compliance standing concerning relevant legal and regulatory frameworks.

David graduated from Temple Law School where he studied abroad in Japan. While studying abroad in Tokyo, Japan, he also interned at DIC Corporation, a multinational chemical company where he focused on corporate issues.

Before joining the firm, David completed an Acquisition and Industrial Security Legal Fellowship at the Applied Research Laboratory for Intelligence and Security (ARLIS), a university-affiliated research center providing basic and applied research support to the defense and intelligence communities.

Proof Points

Corporate: 

  • Provided due diligence advice to clients for transactions ranging in size from $5 million to $250 million. 
  • Drafted and negotiated key transactional and ancillary documents for equity transactions, asset sales, corporate reorganizations and newly formed entities.
  • Ongoing representation of a security alarm company in its rollup efforts, which has resulted in over 15 individual transactions throughout the United States.
  • Drafted and reviewed various commercial and technology transfer contracts, including but not limited to master services agreements, SAAS agreements, customer and vendor agreements, non-disclosure agreements and licensing agreements.

Cyber:

  • Drafted and reviewed privacy policies, information security policies and end user license agreements for clients at various stages of growth.
  • Managed data breach response for various entities, including in the private and public sector.
  • Conducted incident response training and tabletop exercises for response teams, executives and board members.
  • Engaged security firms to conduct red team exercises, penetration tests, compromise assessments, security risk assessments and cybersecurity maturing assessments.
  • Managed individual notification efforts for populations ranging in size from 100 individuals to over 150,000 individuals.

Outside the Office

David lives outside of Philadelphia. He is an avid fan of Philadelphia sports, Indian movies and pro wrestling. Above all, David appreciates time with his family and friends. As a board member of the South Asian Bar Association for Philadelphia, David mentors law students and plans programming for the organization. In 2024, as the Vice President of South Asian Bar Association of Philadelphia, David hosted the largest fundraiser to date for the organization.
