Nicole is a strategic, business-oriented, solutions-driven attorney with more than 20 years of transactional tax experience. She focuses on mergers, acquisitions, joint ventures, financings, and third-party co-investment arrangements, as well as securities offerings, including associated tax planning, for public and private multinational corporations, closely held companies, S corporations, limited liability companies, partnerships, and nonprofit organizations, with an emphasis on private equity funds and their portfolio companies.
Throughout her legal career, Nicole has advised clients on a broad range of high-value transactions, including structuring acquisitions, dispositions, and private equity investments. Her experience includes drafting and negotiating complex corporate documents such as purchase agreements, merger agreements, operating agreements, and offering memoranda, often working closely with clients, accountants, and other deal team members to formulate efficient tax strategies that further the clients’ business objectives.
Nicole also counsels clients on integration, operational, and compliance issues, manages complex foreign and domestic tax audits, and represents clients before the IRS, federal agencies, and courts.

As a tax advisor, my job is to facilitate transactions by understanding the client’s business goals, focusing on what matters most, and clearly explaining solutions so the client can make informed decisions that further the business objectives.
Outside the Office
When Nicole is not advising clients on complicated tax matters, you will likely find her on a baseball field or basketball court cheering on her son and daughter. She also enjoys exercising, volunteering, cooking, and spending time at the beach with family. Nicole is actively involved in youth sports and currently serves on the Board of the Positive Coaching Alliance.
