With this straightforward mission in mind, John represents and advises public and private sector employers, emerging growth companies, nonprofit institutions and individual executives on the full range of tax and employee benefit matters, including executive employment agreements, change-in-control plans, retention programs, equity compensation plans (stock options, restricted stock, RSUs, PSUs, ISOs, phantom stock), performance-based incentive arrangements, qualified retirement plans, ESOPs, nonqualified deferred compensation plans (Section 409A), golden parachute payments (Section 280G), SERPs, Directors’ deferred fee plans, severance plans, workforce reduction programs, health and welfare plans and VEBAs. John also advises clients on tax and ERISA issues arising in corporate M&A transactions, joint ventures, bankruptcy proceedings, litigation and collective bargaining negotiations, and represents clients before the Internal Revenue Service, Department of Labor and Pension Benefit Guaranty Corporation.
John is the author of the Bloomberg Tax's Management Portfolio (TMP 364) – Qualified Plans - Treatment in Mergers, Acquisitions and Other Corporate Transaction. He is also the author of “Equity Incentive Arrangements for Partnerships and LLCs” which is maintained as a permanent chapter in Bloomberg Tax's Executive & Director Compensation Reference Guide.
John has been selected for inclusion in The Best Lawyers in America since 2019 for Tax Law.
Prior to entering the legal profession, John practiced as a CPA with the accounting firm of Deloitte & Touche in Washington, D.C.
