The Venture Capital & Emerging Companies Group understands the mix of legal and business problems that emerging companies face. Our lawyers often serve as outside general counsel to clients and help them to prioritize resources. We help clients identify potential financing sources and develop strategies to raise capital with alternative financing methods.

Portfolio Company Investments
Our investor clients are involved in a wide variety of industries, from life sciences and medical devices to communications, green technology, and information services. We help these clients negotiate and document their portfolio company investments, whether they are providing seed funding, early and later-stage preferred stock financings, bridge loans, mezzanine financing or private placements in public companies.
Fund Formation
We help fund managers with the formation of venture capital and private equity funds. By working closely with our Tax Group, we negotiate the terms and structure of funds including counseling our clients on matters such as choice of entity, regulatory compliance, fund raising, tax issues and the economics related to the allocation and distribution of fund gains and losses.
In addition, our firm represents venture capital and private equity funds in connection with secondary market transfers of portfolio company investments and private transfers of interests in these funds.
