From structuring high profile deals to forming start-up ventures, our Corporate Finance & Technology Section accomplishes the operational and strategic objectives of our diverse U.S. and international client base. We structure and negotiate sophisticated transactions involving equity and debt offerings, public and private capital formation, private placements, mergers and acquisitions, and venture capital and other financing transactions. We advise corporations, boards of directors, board committees, officers and shareholders on corporate governance and regulatory compliance matters. In addition, we work closely with other practice groups to address issues that require specialized experience such as tax, labor, employee benefits and intellectual property. Our clients include public and private companies, ranging from start-ups to Fortune 500 organizations. We also represent venture capital and private equity funds, regulated investment companies, banks, broker-dealers, investment managers, financial advisors and insurance companies.

Mergers and Acquisitions

Our M&A lawyers handle a variety of transactions for public company and private clients, including divestitures, strategic alliances, joint ventures, management and leveraged buy-outs, corporate control contests, tender offers, going private transactions and other business combinations.

Securities/SEC

Our Securities practice group has helped our domestic and foreign clients raise billions of dollars through initial public offerings, secondary registered offerings, private placements, PIPES and other transactions. We also assist Fortune 500 companies and emerging public companies with their reporting and compliance obligations under the securities laws and the rules of the national securities exchanges including disclosure and corporate governance matters.

Venture Capital and Emerging Companies

We represent venture capital and equity funds in a broad range of transactions, including preferred stock financings, bridge loans, mezzanine financing and private placements in both public and private companies, fund formations, and transfers of portfolio and fund investments.

Technology Transactions

We work with companies in connection with commercial transactions involving technology and intellectual property rights. Some of our transaction representation includes license agreements, maintenance and support agreements, consulting services agreements, outsourcing arrangements, privacy policies and biotechnology transfer agreements.

Executive Compensation

We advise clients with respect to ERISA, federal income and employment tax, ESOPs, profit -sharing plans, executive agreements, equity compensation plans and securities law issues related to the design, establishment, operation and termination of a variety of executive compensation programs.
