Our practice is multi-faceted and includes the representation of electronic security, video surveillance, fire alarm, fire protection and PERS companies, as well as lenders, equity sponsors, trade associations and others involved in these industries. Our dedicated team of lawyers handles acquisitions, dispositions, financings, industry licensing, tax planning, litigation, employment law, customer contracts cybersecurity and data privacy matters, as well as clients’ other day-to-day concerns.
Over the past 30+ years, our lawyers have been involved in hundreds of industry transactions, , including:

- Representing borrowers and lenders in various loan transactions.
- Representing portfolio companies and sponsors in equity-raising transactions.
- Representing third-party monitoring providers and their dealers in contract negotiations.
In addition to transaction-related work, we also advise clients on a variety of operational matters, including licensing, customer contracts, dealer/sales programs, employment practices and litigation, arbitration and government investigations arising from, among other things, alleged violations of consumer protection laws or related to customer disputes.
We Know the Territory. We are honored to serve as counsel to the Electronic Security Association, the alarm industry’s largest trade association, and represent other alarm associations as well. As a result, we are familiar with many issues that confront these businesses and work with our clients to address them head-on. For example, when Pennsylvania adopted a law requiring that all consumer contracts be written in plain language, we drafted the first “plain language” contract approved by the Attorney General’s office.

Members of our group have written numerous articles for industry publications, as well as participated in industry seminars on a variety of topics, including the buying and selling of alarm and fire protection companies, debt and equity financings, customer contracts, electronic contracting, data security, employment, estate planning, tax and related matters.

We Co-Host the Barnes Buchanan Conference. For approximately 30 years, we have co-hosted the Barnes Buchanan Conference with Barnes Associates. The conference is the premier financing and acquisition conference for the alarm monitoring industry and is held each February at The Breakers in Palm Beach, Florida. Recognizing the real need within the industry for more financing options, our lawyers worked to create this unique conference, which combines extensive networking opportunities with up-to-date analysis and opinions from senior executives, lenders, equity sponsors and advisors.
