Mary Ann Dunham counsels leaders in the technology, advanced manufacturing, health care and service industries on a broad range of transactions, including mergers and acquisitions, dispositions, financings and joint ventures. Mary Ann is a co-leader in the security monitoring and PERs practice groups.

Mary Ann’s general corporate practice is oriented toward helping growing companies from formation through financing to sale or acquisition, including drafting buy/sell, shareholder, management, loan, employment and non-competition agreements, as well as handling the everyday issues that companies encounter. As U.S. legal counsel to foreign companies investing in or acquiring U.S. companies, she has provided counsel on voting rights, board composition, fiduciary duties and other governance issues, including on matters involved in litigation. She has provided counsel on the sale of numerous family-owned businesses and also frequently counsels such businesses on succession and governance issues. In addition, Mary Ann also represents nonprofit corporations on governance and related matters.

Mary Ann's transaction experience includes:

  • Acquisitions and sales of security monitoring companies
  • Financings of security monitoring companies and companies in the PERS industry
  • Sale of multi-generational, family-owned, multi-state furniture and mattress company
  • Sale of a multi-generational, family-owned, regional newspaper 
  • Sale of a multi-generational, family-owned manufacturer of air climate and movement systems
  • Sale of a manufacturer and service provider in the environmental remediation and water treatment industries
  • Acquisition of managed network services and solutions provider and creation of related joint venture

Mary Ann has been frequently recognized by her peers. Since 2013, she has been named each year to the Best Lawyers in America® list in the corporate law category. She has also been previously selected to the Pennsylvania Super Lawyers® list and  similarly honored by her peers and named a Pennsylvania Rising Star by Philadelphia Magazine.

Mary Ann has also been recognized for her civic work and community contributions. Most recently, Mary Ann was named a 2023 Pittsburgh Business Times Women of Influence honoree. In 2009, she was named the 2009 Greater Pittsburgh ATHENA Award recipient for excellence in her profession and her mentoring efforts. In 2005, Mary Ann was selected as a Fast Tracker by the Pittsburgh Business Times. The "Fast Trackers" program recognizes 50 talented individuals under the age of 45 who are having a significant impact on the business and social climate of our region. In 2004, she was named one of the "40 Under 40" by Pittsburgh Magazine and PUMP, the Pittsburgh Urban Magnet Project. The "40 Under 40" are young leaders honored for their ceaseless work to make Western Pennsylvania a better place.

Mary Ann is currently on the board of WQED and previously served as a board member of the Pittsburgh Technology Council, the Women and Girls Foundation of Southwest Pennsylvania, the Association for Corporate Growth, PowerLink and Downtown Pittsburgh YMCA.
