On Friday, July 31, 2009, a cross-section of attorneys from Buchanan Ingersoll & Rooney PC teamed up to assist firm client Alpha Natural Resources, Inc., with certain executive compensation and corporate governance aspects of its all-stock merger with Foundation Coal Holdings, Inc., which created one of the foremost U.S. coal producers. The merger is valued at about $2 billion.

News of the merger was reported on in an August 7, 2009, Law360 article titled "Coal Companies Unite In $2B All-Stock Merger," as well as an August 14, The Legal Intelligencer article titled "Trio of Law Firms Seals $2 Billion Coal Deal."

As noted by Law360, "The new company, which held on to the name Alpha Natural Resources, operates more than 60 coal mines and 14 preparation plants, controls reserves of more than 2.3 billion tons of coal, employs about 6,200 people, and had pro forma 2008 revenues of $4.2 billion." A team of corporate, tax, and labor and employment attorneys from Buchanan helped assist the company with the deal.

The team included Lewis U. Davis Jr. from the firm's Corporate Practice; John E. McGrady, III and Philip J. Weis from Tax; and David J. Laurent and Gregory A. Miller from Labor and Employment.
